This Deed of Assignment of a Lease is a deed for the assignment of an unregistered lease. This document is for use on an assignment of an unregistered lease, you should not use this document template if the lease is registered at the Land Registry, in this case you should just use a form TR1 instead of this Deed of Assignment of a Lease.
This Deed of Assignment of a Lease shall be used where a tenant of an unregistered lease (also called the “Assignor”) wants to assign the remainder of the term of the lease to a new tenant called the “Assignee”.
The document is drafted to achieve a reasonable balance between the parties, it is suitable for use whether or not the lease is a "new lease" under the LTCA 1995, and it can be used for the assignment of either a lease or an underlease. If you are assigning an underlease (also known as a sub-lease) you can still use this Deed of Assignment but you will have to edit the terminology in the template to refer to a sub-lease rather than a lease.
If landlord's consent to the assignment is required (please check the terms of the lease), this will be provided by way of a separate licence and the landlord does not therefore need to join in the deed of assignment to indicate its consent. This Deed of Assignment of a Lease assumes that the consent of the landlord to assign the lease has already been obtained with a Licence to Assign document template.
Please note: Do not use this Deed of Assignment of a Lease, if:
The assignor is only assigning part of the property demised by the lease.
The assignment is by a mortgagee, liquidator, receiver or an administrator.
The lease is registered or there is an application pending for first registration of the lease.
