This Share Certificate template can be used for a private company limited by shares or a public limited company and it constitutes prima facie evidence of the title to the relevant shares of the person named in it in accordance with section 768(1) of the Companies Act 2006.
In accordance with Article 24(2)(a) of the Model Articles for Private Companies this Share Certificate contains previsions stating how many shares, of what class, it is issued.
Section 113(2)(a) of the Companies Act 2006 requires each company to record the name and address of each member in its register of members. In the case of joint holders, the register of members must show the names of all joint holders and so those names will also appear on the share certificate. However, for the purposes of the Companies Act 2006, joint holders are treated as a single member and so the register records a single address for all joint members, which will also appear on the certificate.
Although not required by statute, it is common for a company's share certificates to include a footnote stating that no transfer of the shares referred to in the certificate will be registered without production of that certificate.
